Shareholders of Spirit AeroSystems voted on January 31, 2025, to approve the company's acquisition by Boeing.
The transaction was announced in July last year, when Spirit entered into a definitive merger agreement with the manufacturer. Boeing acquired Spirit for $37.25 per share in Boeing common stock, which accumulates to an enterprise value of approximately $8.3bn.
"Our shareholder’s resounding approval today represents an important milestone in our carefully planned merger with Boeing," said Irene Esteves, Spirit AeroSystems chief financial officer. "As we continue executing our transition plan, we remain focused on Spirit’s foundational principles of safety, compliance and quality.”
Spirit confirmed in a statement that it will continue to operate as an independent company until this deal with Boeing is complete.
The company expects the transaction to close during mid-2025.
