ITA Airways finances A330neo acquisition through French lease structure; CEO under investigation

The transaction, covering aircraft delivered in December 2025 and April 2026, was structured by Crédit Agricole Corporate and Investment Bank and Crédit Industriel et Commercial. The financing structure is designed to optimise funding and tax efficiency while supporting the airline’s transition to newer, more fuel-efficient widebody aircraft. 

A number of legal advisers were involved in the deal. Eversheds Sutherland advised ITA Airways on the overall structuring and financing aspects, while Addleshaw Goddard provided counsel on English and Irish law elements of the transaction. Gianni & Origoni delivered tax advice to the airline, and Norton Rose Fulbright acted for the financing banks on both French and Italian law matters. 

Within ITA Airways, the transaction was supported by internal legal, financial and tax teams, including the airline’s finance and treasury functions, reflecting the complexity of the structure. 

Separately, former ITA Airways chief executive Fabio Lazzerini is under investigation by prosecutors in Rome as part of a corruption probe linked to the airline’s former Volare loyalty programme, according to local media reports. The investigation concerns allegations that high-tier membership cards, reportedly valued at around €6,000 each, may have been granted to officials at Italy’s data protection authority during a period when regulatory matters involving the airline were under review. Italian authorities have conducted document seizures, while ITA Airways said it is cooperating fully and noted the case relates to previous management.
