AerCap has issued an exchange offer of up to $1.5bn of its unregistered outstanding 6.45% senior notes due 2027, which were issued in November 2023, for a like principal amount of new 6.45% senior notes due 2027, which are registered under the Securities Act.
The exchange offer is set to expire on April 15, 2024, at 5PM New York time. The exchange note terms are substantially identical to the terms of the unregistered notes, except that the transfer restrictions, registration rights, and payment of additional interest in case of non-registration applicable to the unregistered notes do not apply to the exchange notes.
Bank of New York Mellon Trust is serving as the exchange agent for the offer.
