AAR, a Chicago-based aviation services provider, has acquired American Distributors (ADI) in an all-cash deal worth $146 million.
The transaction, which was funded by an existing revolving credit facility, will see ADI absorbed into AAR’s existing parts supply business.
AAR said the deal will expand its new parts distribution offerings by leveraging ADI’s complementary electronics product lines and its "extensive" relationships with original equipment manufacturers (OEMs).
John Holmes, chair, president and CEO of AAR, said that AAR’s distribution business is already its fastest-growing segment, averaging more than 20% organic growth in each of the last four years.
ADI, a company of approximately 400 staff, serves customers from six locations across the US, UK and India.
For the trailing twelve months ended June 30, 2025, ADI generated $149 million in revenue and $15.2 million in EBITDA.
